As far as I know, Hydrogenics will create a new class of shares for the Algonquin shares to be converted to on a one-to-one basis. Incomes will be distributed as dividends. Old Hydrogenics will be changed to New Hydrogenics (their price is substantially lower than Algonquins). Algonquins, after being absorbed by Hydrogenics, will be listed only in the Toronto Exchange. The dividend will probably be reduced later due to the new law.

http://www.real-estate-online.com/articles/art-267.html - Looks like a good place to start your research. When you're looking into something like tax lien certs, remember that Google (or whatever search engine you use) is your friend. Just do a search for "tax lien certificates" or "tax lien investing" or something like that and you'll soon find the information you want.

The conversion of these income trusts to corps will mean that their distributions will now be dividends...which, for Canadian owners, will be effectively taxed at a lower rate to the holders. So the companies can anticipate converting to a lower payout without too much impact on their stock price (assuming Canadian ownership).

This is not a good thing for non Canadian investors as, I presume, they will not be able to get a dividend tax credit on Canadian holdings under their own income tax system.

Bottom line...expect that the upcoming "dividends" will be lower than the current "distributions" after conversion. Mostly neutral for Canadian owners, but lower real return for foreign investors.
