$CECBF – CellCube to Receive $1.67 Million in Refunds

“TORONTO, Aug. 2, 2018 — CellCube Energy Storage Systems Inc. (“CellCube” or the “Company”) (CSE: CUBE) (OTCQB: CECBF) (Frankfurt: 01X) is pleased to announce the Company is to be refunded certain transactional taxes and fees from the Austrian authorities in connection with an acquisition announced May 1, 2018. The refund has cleared tax authority review and the proceeds of the refund of approximately $1,670,000 CAD is anticipated to be returned to CellCube’s wholly owned subsidiary in Austria in the coming weeks.

The relevant transaction was the acquisition of the Austrian based assets of former Gildemeister Energy Storage GmbH (closing announced May 1, 2018).

The Company plans to use the proceeds in the continuous build out of the core technology of energy storage systems based on vanadium redox flow battery technology thus accelerating development of next generation products and customer development.”

note: I tried to find a news release on their web site and had a hard time connecting. I switched browser and did connect but the home page looked like it was under construction. Unfortunately this may not be entirely an IT problem as there was also on the bottom of the page a notice that the Domain was for sale your DD is advised.

We are very thankful for Alumina Partners having considered us as a portfolio investment but we believe our shareholders will be better served by allowing the Company to limit any major dilution at this time as it builds out its global strategy.

No fees have been paid and no penalties are associated with the cancellation of the facility.”

$CECBF – CellCube Announces $2,000,000 Financing

TORONTO, August 3, 2018 — CellCube Energy Storage Systems Inc. (“CellCube” or the “Company”) (CSE: CUBE) (OTCQB: CECBF) (Frankfurt: 01X) is pleased to announce its intention to complete a non-brokered private placement (the “Offering”) of up to 10 million units of the Company at a price of $0.20 per unit for gross proceeds of approximately $2 million. The Company has already received sufficient interest from individuals to complete the $2 million financing.

Each unit is comprised of one common share of the Company (a “Common Share”) and one-half of one common share purchase warrant of the Company (each whole warrant, a “Warrant”). Each Warrant entitles the holder thereof to purchase one Common Share of the Company at an exercise price of $0.40 for a period of 36 months from the date of issuance of the Warrant. Subject to customary closing conditions, including Canadian Securities Exchange approval, the Offering is expected to close on or about August 8, 2018. All securities issued pursuant to the Private Placement will be subject to a four month hold period from the date of issue.

“This financing, together with our working capital and the previously announced tax refund in the approximate amount of $1.67 million, will solidify the Company well into the new year,” commented Mike Neylan, CEO of CellCube. “With the support of our major shareholders and insiders on this funding, we are confident that these funds will allow us to continue on our path to sustained revenue and cash flow, which we expect will start in the second half of this year, and will negate further dilution,” added Mr. Neylan.

I haven’t heard about Bloom Energy for a while and now i see this.
I didn’t know about it’s IPO being officially offered. I was hoping for a better result and publicity for the “new battery players”. This won’t help.

I have not heard of them, but any company working on living off the grid and not just tied to it gets my attention. My ATTENTION…however….is asleep right now with too much going on in my life.
I ‘ll check in on them from time to time. But MERCY! Pick one Solar or battery company and see what they have done lately. Nothing. And there are lots of them plying their trade.

I will say, from other research, that the electric companies don’t want to give up making money from Solar or wind, and they will eventually, (Politically) get some money from the homeowners somehow.
Your best bet will be to avoid the Utilities altogether, until the government makes you connect or the city charges you for your privilege to collect ‘free’ sunlight.

Yes deanbob, I understand that part of the business.
I am referring to homeowners tying into the grid to “sell” their home made electricity back to the utility.

Some people say that their bill is now only $10 a month. My statement says that there is no way that the Utility will :
A- Let them use their lines for free.
B- Start paying the homeowner for “making” electricity for the Utility.
C- Local governments will also lose money if homeowners skip making payments to the Utility.

There’s more, but the idea of my comment is that there’s no way homeowners will be getting a free ride hooking up to a Utility.
Once hooked up, they know who you are and how dare you take their sunshine.
Kinda similar to homeowners being arrested for damning rainwater on personal property, cause it belongs to the state.

~$10 is what my family in Cal pay with their PV. I don’t know what their ‘net meter’ pay is. When I was investigating net metering and PV’s for N Texas, it was very underwhelming! But, I do understand the 2 main companies here provide:
(Electricity that customers purchase through the Texas Electric Choice program.
Accurate, timely meter readings transmitted to retail providers for billing purposes.
Service connections and re-connections as requested by retail providers.
Locally based service that ensures prompt response to power outages.
Construction and maintenance of the poles and wires that deliver electricity.
Fortunately, I have been able to keep my electricity bills really low by switching from plan to plan at the end of each contract.

In the case of (at least Oregon), I think it is bizarre that a state can arrest someone for capturing rainwater on their own property. Seems we are edging towards totalitarianism and a (?) ‘Brave New World’!

There is a lot going on with the Electrical grid and it varies from State to State, Utility to Utility since FERC deregulated. When the deregulation was done the utilities were given a year to figure it out some are going in the right direction some arn’t. You will have to follow the PV mag article I post.

I hope that the $10 bill continues! I’m just sayin that they AND the government will need to recoup those lost dollars because of the lower bills.
I dream of living off the grid and even think about having an account with a utility.

Funny how all of those plans vary, isn’t it? Makes you wonder how it is all done, unless most of it is being able to cover (a company’s) debt to decide their rate structure.

Several leading independent research firms are forecasting rapid growth in energy storage. According to Bloomberg New Energy Finance’s research, storage markets are estimated to reach 40 GW by 2030, and are estimated to spend over $100 billion in the ramp-up phase over the same time period. Appointment of Mr. Mike Neylan as CEO of CellCube. Mr. Neylan has over 20 years of extensive financial, legal and international corporate experience. Most recently, he was a portfolio manager in the private equity division of Sprott Inc. (“Sprott”), a leading alternative investment manager with over $11 billion in assets under management, where he was primarily responsible for establishing Sprott Asia. While at Sprott, he helped raise over $500 million of institutional investment capital from China and Korea and executed over $300 million of investments predominantly in the resource and renewable power sectors. Sprott, and certain investment entities managed by Sprott, have also invested in CellCube.

Appointment of Mr. Stefan Schauss as President of CellCube. Mr. Schauss has over 20 years of sales and business development experience worldwide with a focus in recent years on utility scale energy storage. He has extensive experience in marketing and sales of VFBs, the leading battery for large scale stationary energy storage. Stefan has worked extensively in both Europe and North America. He has a MSc. Physics from University Mainz, Germany with a concentration in physical chemistry and electronics.

Purchase of Jet Power & Control Systems Ltd. (renamed EnerCube Switchgear Systems Inc.). EnerCube is one of Western Canada’s largest independently owned switchgear manufacturers providing custom and turnkey solutions. The Corporation provides complimentary products and services to CellCube and will continue to provide innovative and high-quality products such as: Arc Resistant and Metal Clad Switchgear, Motor Control Centers, VFD’s and inverters to heavy power users, pipelines, refineries, manufacturers, municipalities and infrastructure providers.

Appointment of Mr. Brian Ricker as President & CEO of EnerCube Switchgear Systems Inc. Mr. Ricker brings over 30 years of business experience in the electrical industry, including 15 years in senior management roles. He recently left Eaton Corporation (a multinational power management company) where he was responsible for managing domestic and international projects in the engineered equipment space.

CellCube announced its intention to spin-out its 100% owned vanadium project, the Bisoni MacKay and Bisoni Rio in Nevada, USA, into a newly formed entity, V23 Resource Corp., which is to be publicly listed. Vanadium prices have increased over 320% since January 2017 with V2O5 prices now approximately US $19 per pound. Vanadium, widely used as an alloy to strengthen steel and in vanadium flow batteries for the energy storage industry, is the best performing battery metal over this time period surpassing cobalt, copper and nickel. CellCube will retain 19.9% and certain off-take rights. Shareholders of record will receive one share of V23 Resource Corp. for every two shares of CellCube held by CellCube shareholders. The spin-out and the record date are expected to occur in September 2018.

First product shipment of CellCube VFB to Germany. The Company shipped its first energy storage system to the German municipal utility Gelsenwasser for their EnerPrax project.

Shipment of 2 VFBs to New York. The Company announced that the first of two CellCube energy storage systems was installed at O’Connell Electric in Victor, New York. The battery will be part of a micro-grid solar plus storage system to maximize the use of energy and lower costs by 30-40%.

CellCube further announced the purchase of a 10% stake in Braggawatt Energy Inc., a FinTech platform for financing North America’s C&I and non-profit solar projects. The companies have agreed to co-develop financial solutions for energy storage projects that will accelerate the global rollout of CellCube VFBs.

While CellCube does not normally comment on market activity or market rumours, the Company believes it is appropriate to issue the following remarks in light of the unusual activity related to its common shares.

CellCube reiterates that neither the prospects for the energy storage industry nor the fundamentals of its business have changed since the acquisition of the Gildemeister assets. The Company is aware of no material events that would contribute to the unusual trading activity.

“We continue to execute our growth strategy, and our business is progressing as expected,” commented Mike Neylan, CEO. “We are very encouraged by the interest shown in CellCube by institutional investors and clean energy companies in both North America and Europe.”

The Company also states that several officers and directors have been buying shares in the open market over the past several weeks. ”

note: Evidently the company feels they have3 done no wrong yet there is no change in their web site since my last post on them. It doesn’t come up in Firefox and with Chrome it’s better but no contact info.

I just finished looking some at their web site. The web site looks good well thought out and all the information is there if you have a need and/or interest. They have a section for customers, but there are only two customers there maybe more but you would have to download their guide and case studies manual to find them.
This ‘amorphous alloy metals’ thing and injection molding leaves me with some doubt as to how hard and strong the metal is going to be. If you are already having metal parts cast because they are too complex to machine then amorphous alloy metals might be the answer if the metal properties are correct. The only other question I can think of is how big is the market.
