Solving Curzio’s “The Marijuana Investment Story No One’s Telling”

Sniffing out the "backdoor" pot legalization story teased by Phase 1 Investor

Well, again Frank Curzio’s Phase 1 Investor wins the prize for “teaser ad most Gumshoe readers are asking about” … so let’s give it a gander for you.

Phase 1 is a premium-priced ($3,500 is the current “on sale” cost) small cap newsletter published by Stansberry, and it tends to be among the most-requested letters for the Gumshoe treatment — no doubt because it’s too expensive for most individual investors to sample, and because they tend to tease intriguing little small-cap stocks in technology, biotech and natural resources… often stocks moset folks haven’t heard of, so curiosity rages.

And what piques it this time around? Marijuana stocks.

Ugh, I know — I can hear you sighing from here. Marijuana stocks are among the most hyped, ridiculous, pumped up names in the market. Every pump-and-dump operation that thought they could create a 3-D printing stock out of nowhere last year, or a gold mine stock with no assets a couple years ago, has now decided to sell itself as a legalized pot story, with dozens of companies doubling, tripling or better in the last year or so. There are no doubt some real companies in the cannabis space, but I’m sure they’re absurdly expensive if they exist… and there are so many scams that it hardly seems worth researching all the hints that fly our way.

But still, Phase 1 isn’t a pump-and-dump operation (though their subscribers may sometimes benefit from new attention brought to the small cap stocks they favor) — whatever stock Curzio is teasing must have at least something “real” to it.

So what is it?

Here’s how he sells the idea, by first introducing a note of caution:

“… until today, we’ve never even considered recommending one of these stocks.

“Why?

“Several reasons…

“First… because most stocks in the marijuana industry are already ridiculously overpriced.

“Like the dotcom boom of the late 1990s, the hype has far exceeded the reality.

“Take Medbox, for example, the company that’s developed a biometric vending machine for legal marijuana. Medbox recently had a market cap of over $1.1 billion.

“Yet, they brought in just $5 million last year.

“That means investors were paying 200 times what the company generated in sales.

“And second… there are a lot of indirect plays on marijuana that may or may not pan out. Like big tobacco companies. Sure, the Altrias and Phillip Morrises of the world might one day dominate this market. But there are a lot of “ifs.” There’s no guarantee they’ll be able to corner the market, for example… or that they’d even want to. And these tobacco giants are so huge – the added business from selling marijuana really wouldn’t move their stock much higher.

“The point is, many direct plays in the marijuana market have already soared. And there are simply too many “ifs” to consider an indirect play right now.”

Then we get the, “but wait!”

“I’ve found an incredible and totally unique way to play the marijuana boom… and capitalize on this explosive, new market – that limits our exposure to these pitfalls…

“It’s THE marijuana investment practically NO ONE is talking about.”

What is this investment?

“this company offers a secret, backdoor way to own one of the most potentially lucrative marijuana investments in the world… which has leapt as high as $45… for less than $10 a share.”

I love secret backdoors! You’ve got my attention.

“When word spreads about this tiny group… the incredible deal they’ve structured… and how they can essentially “go back in time” and buy one of the most well liked marijuana stocks for dimes on the dollar… it’s likely their shares will soar.”

Hmmm… must be a catch, right? Presumably so — you can look for it in a minute. First let’s make sure we can ID the company, sniffing through a few more clues dropped by Mr. Curzio:

“I believe this is, hands down, the safest, and most potentially lucrative investment in this sector right now… an incredible deal, with a small company that could easily pay us 200% or more… in the coming year….

“… this marijuana company is not really a marijuana company at all.

“You see, what I’ve actually uncovered here is a tale of two stocks.

“One is a marijuana stock,

“The other stock is a small investment firm, which, unbeknownst to most of the investment public, owns a very large stake in this marijuana stock.

“This small investment company has the legal right to exercise a contract that allows it to acquire shares of this tiny marijuana stock at about 70% less than it’s really worth on the market today….

“If the price of the underlying marijuana stock rises 40%, the small investment firm stands to make a profit of $50 million.

“And if the pot stock simply reverts to its 2014 high, they’ll hit the jackpot – and rake in over $100 million… a sum greater than the entire company’s market cap.”

And apparently we don’t even need this marijuana stock to double for our “secret” stock to rise dramatically…

“A mere 10% rise in the value of the marijuana stock could translate to a nearly 50% gain for investors who get in right now….

“Well, if the underlying stock gains 50% from here – which is entirely possible with Washington State coming online – the investment group’s stock could almost DOUBLE.”

So what is this? Thinkolator sez the most likely candidate (not 100% certain this time, but pretty sure) is Full Circle Capital (FULL), a BDC which owns warrants on and has a pending convertible debt offering with Advanced Cannabis Solutions (CANN).

CANN is one of the “picks and shovels” suppliers to the marijuana industry, one of the many companies that is trying to profit from the marijuana business without actually selling pot itself. They seem to be focused on sale/leaseback operations with growing facilities, and on selling stuff like “child-resistant baggies” to the industry. Haven’t really looked at them (or at any other marijuana stocks, frankly), but the companies that try to avoid being actual growers, wholesalers or retailers are essentially trying to reduce their exposure to the parts of the business that are still technically illegal under federal law and are, at the least, very early on in the development of a predictable regulatory environment.

Full Circle Capital is a very small BDC, with a market capitalization around $75 million (at $7 and change per share), and like most BDCs they pay a dividend (approaching 10% in their case) from money they earn by lending cash to mid-market companies — the kinds of companies that are too big for the local bank and too small for Wall Street financing.

And FULL owns warrants on one million shares of CANN stock ($5.50 strike price) that they bought (for $500,000) as part of an agreement to provide $30 million in convertible financing to CANN. That’s obviously worth something now, since CANN shares are up around $18, but the shares attached to that warrant aren’t registered yet and would create dilution so they might not necessarily be worth the full $13+ per share that you’d think they’re valued at today (the company valued them at a little over $10 in their last quarterly report, so $10 millionish… almost all profit).

Which means we’re not looking at doubling FULL shares just because CANN goes up a little bit — but certainly those warrants are valuable and very levered to CANN share price movements. The really big impact for FULL comes if and when the actual funding is supplied under the convertible debt agreement … because the full $30 million will be convertible at various prices depending on when different tranches go into effect, but the very first tranche of $7.5 million of funding from FULL comes at a $5 per share conversion and would be quite valuable instantly at current prices. That would mean they’d effectively be getting 1.5 million shares for their $7.5 million investment, and right now 1.5 million shares are worth over $22 million. So in theory, you could see that just getting this first tranche through in CANN funding and owning those warrants would give FULL access to shares that are worth about $37 million right now in exchange for an $8 million investment.

That’s an exaggeration in lots of ways — but if the marijuana stocks go crazy again FULL could reap larger benefits (again, if the convertible debt deal gets finalized). But basically, if they do the first tranche of this convertible debt (I don’t know whether or not they will), then Full Circle will have effectively gotten 2.5 million shares for $8 million. If CANN stock goes back to $45, then those 2.5 million shares would be worth $112 million… and if you want to pencil in the rest of the convertible debt offering too, well, the math gets more complicated but certainly that would be, um, more.

So you can massage those numbers and make them more or less reasonable — FULL already trades right around book value at $70 million, so if you throw $70 million in profit at them the stock probably at least doubles. And they are only exposed to CANN and the marijuana business to the extent that they lend CANN money from here, so if they don’t complete the convertible funding for whatever reason then they just have the warrants and they’ve only invested $500,000 for something that could be worth upwards of $10 million today and whatever the future return happens to be.

I have no idea whether it will work out, or even whether the seemingly unstoppable wave of marijuana legalization legislation will create any big and profitable companies (as opposed to trade-able speculative stocks without much in the way of “numbers”)… and I’m not buying any of the pot stocks personally at the moment. But this is our best solution to the teaser pitch — I’m rushing out the door, so I’ll let you discuss this one amongst yourselves. Has broken $9.00 once in over 5 yrs., Frank is reaching here, but after his tease came out, the bottom seemed to fall out. I’ve said this before, but his Low Price portfolio outpaces his Phase 1 portfolio $$ wise if you search deep ’nuff.

These MJ stocks are fraught with danger for the investor. I had a “red hot tip” about $HEMP, which is mainly a hemp and marijuana business consulting firm that does a lot of important-sounding things — except make money. I took the bait and bought 10K shares at 25 cents a share, then watched it wither away to a nickel. Seems it was a setup because certain persons were heavily shorting it. But, if Bruce Perlowin can be trusted, and if he knows what he’s doing (two BIG ifs), then I may not lose my entire $2500 (*only* $2000 of it). But if he can’t and/or doesn’t, then at least I’ve learned a painful lesson.

timing is everything – especially in the micro stocks arena
I started buying $HEMP stock 5000 shares every 1/2 cent from $0.03 down to $0.01 and sold it 5000 shares at a time every penny up starting at $0.12 and last sale at $0.16 (rather poorly in hind sight but …)
just bought my first 5000 shares the other day at $0.05 and hoping to be able to get at least the 25,000 shares back into my account before the next run up

The story behind marijuana being a class I narcotic is rather interesting and has nothing to do with its being a “narcotic”. DuPont had just invented rayon and nylon and wanted that market (ropes etc.) so they through their lobbyists had hemp made illegal to grow in the USA. During WWII that prohibition was relaxed so lots of hemp was grown here in Nebraska. Very few physicians have a class I narcotics license. My opinion; It should be a class III narcotic. Then physicians could prescribe a month’s supply with a written script. No phone refills.
It is about as dangerous as most class III narcotics and for certain condition is probably the drug of choice. Effects of chemotherapy, certain types of seizures, pain in MS, to name three.

Agree Solyom.

My concern about legal proliferation of it is that COPD, lung cancer, cannabis hyperemesis syndrome, obesity/insulin resistance/NASH/diabetes are going to become way more prevalent. Cannabis can in fact kill. Deaths ascribed to heavy use of genetically potent plants is now a routine thing.

I am interested in companies coming up with selective modulators of the CB-1 and CB-2 receptors, the endogenous places where cannabinoids (exogenous or endogenous) bind. Arena (ARNA) is such a play.

Latest Harvard study (lead scientist who previously thought marijuana caused lung damage) shows marijuana smokers actually have lower rates of lung cancers. Don’t know where you get the other data. Yours is the big Pharma response to marijuana, take a natural plant that has been used medicinally for thousands of years and never killed anyone and make expensive synthetic drugs from it that are bound to have side effects. “Deaths ascribed to heavy use of genetically potent plants is now a routine thing.” that line is pure Reefer Madness jargon.

Dr KSS – recent yrs has seen a significant uptake by marijuana users of vaporisers to ingest the drug – I am sure you are aware that this method of ingesting the drug essentially eliminates the carcinogens that come with the smoking of any substance – hence the recent dramatic rise in the share prices of companies linked with their manufacture & sale that has coincided with what some have described as ‘the green rush’. Most pro-legalisation groups and organisations (such as NORML) have long advised users that vaporisers are one of the safest & healthiest means to ingest marijuana – hence I feel that your concerns about the possible increase in cases of lung cancer due to legal proliferation may be somewhat overblown & indeed might be heightening fears about the potential adverse effects of legalisation that is unnecessary & which deflects from the many potential social, economic & health benefits that legalisation of both the medical and recreational use of marijuana will bring – for example the city of Denver has reportedly witnessed drops in property crimes by 14.6% & in violent crimes by 2.4% since legalisation whilst Colorado benefited to the tune of an extra $19mil in tax revenues in the first three months of marijuana’s legalisation in the state – much of which has been directed towards the state’s health, education & law enforcement sectors.

There we have it again. Government foolishly wasting tax payers money. The crime rates are on a decline so the politicians decide there’s a need to ramp up their spending for law enforcement departments. To accomplish what? Why won’t they repay some of their city, county or state debts early and allow their citizens to have decreasing taxes along with their decreasing crime.

I also would love to see research where Cannabis can kill. I have seen several articles that claim there is no evidence of Marijuana ever leading to death. Hard thing to prove I guess..
Besides what others have said about using edibles and vaporizer and tinctures to
make the user not burn anything additionally there are many NON Psychoactive Marijuana oils and edibles out specifically for people who only want the health effects (Using strains with HIGH CBD and low or no THC).
Unluckily almost every Hospital or big Pharma research that does this testing stands to lose if people learn to eat properly and get healthy. To the insanity Monsanto is planning to release GMO bluegrass. Once that is done eventually all grass will become GMO and all Grass Fed animals will be eating poisons. The facts are it is is a game they played to get around the rules already in place about GMO’s but by using lawyers with the science they found a way to circumvent the law. If they succeed then eventually we will no longer have Organic Grass FED Beef as GMO Grass is not permitted when selling organic foods.

Uh….Dr. KSS, I would love to see the source of your information regarding MJ-related lung disease. I have been following MJ-related science for years, and have never seen any such articles in the major peer-reviewed journals. Your blood glucose-related claims are also outlandish. Sounds like somebody thinks all MJ users over-eat because of the munchies, and go down the slippery slope from there. Your comment reminds me of the movie “Reefer Madness.” I suggest you investigate some REAL science and stop spewing cooked-up garbage.

Does anybody have an opinion on GW Pharmaceuticals plc (GWPH)? The company is being pumped up by Jim Kramer as his “top marijuana company”. But is it fairly priced? Is there any upside here?

Made a little money early on based on charting and dumped before the crash. So decided to watch the market. On April 5, the total market value of the 16 major stocks was above 5 billion. Since then, the Marijuana industry has lost 40% of its value in that limited time. GW is the only one to increase in value, up about 30% since april 5 and down about 22 % from the top of the marijuana bubble. It is 7 times its 52 week low of $8.46 so this is a late entry into the game for new buyers. About 10% of it stock is being shorted so many people think Kramer is very wrong.
As to the company they are an early stage pharmaceutical company exploring legal and verified uses for medical marijuana extracts. This is almost the opposite of traditional research where a company will specialize in a disease, develop a model for the disease and try to find a substance to block or cure the disease.
I will continue to monitor my pot stock index, but in the short term I see no hope of a profit on publicly traded stock and in the long run I will be dead. The most interesting option is a Canadian growers of medical marijuana founded by venture capitalists running a high tech operation but they are not yet free of all legal obstacles nor are they public.

I am completely opposed to legalized marijuana sales and would never invest in any company even peripherally involved in making it happen. For those with genetic histories of psychotic illness, marijuana use can be the tipping point for first episode psychosis. A recent study has shown that marijuana use causes psychotic episodes in the mid and late teens. This means that young people become ill with terrible interruption of their studies and their lives. Prognosis is much worse with earlier onset. Delaying genetically driven onset is very important. With proper medication, people with schizophrenia and psychotic bipolar disorder can lead productive lives, but first they have to complete their educations. Shame on Stansbury and Co. for pushing this.

Far far more damage done by permitted mind altering stuff. Psychosis may perhaps occur in the predisposed. Fortunately many have a broader world, medical and social view than you.
Medicinal marijuana is quite different to industrial.
The problem has been created by deliberately conflating the two categories for nefarious self interest.

Half of allIt should remain illegalexcept for chronic pain and for end of life users patients admitted to psychiatric wards are marijuana abusers.Loss of motivation.laziness.depression.anxiety.psychotic symptoms and a whole lot of other social and mental issues are associated with this weed.People advocating it have no clue as to what they are talking about.

Something that in thousands of years hasn’t killed a single person, unlike the prescription medications I’m sure you’re very much in favor of? It is not the minority of people with mental diseases who are harmed.20% of all people the world over have some kind of mental illness.This drug is the cause of mental illnesses of all kinds including anxiety. depression,psychosis,loss of motivation and destroyed lives.Just ask some body working in an acute psychiatric ward as to what % of patients have marijuana abuse as the most contributing or causal factor in their mental illness and you will have the answer.It is also the gate way drug which opens the door to abuse of even more dangerous drugs.It should stay banned.

No facts no links to data that shows what you say is true. One nut wrote he has seen many kids die from MJ.
A FREE COUNTRY does not ban natural plants so one company can profit. The USA did. But a free country allows private citizens to do what they wish in the privacy of their own homes. It is those that feel the government should control it but vote republican (less government). Explain this insanity to me. Maybe if you started smoking some weed you would see the light.

You are confusing Hemp with Marijuana. They are not one in the same crops. Hemp has very little if any THC in it. It was the growing of Hemp that was banned in the US so the lobbyist’s employers could profit.

Virginia; I have personally seen many young people die while acting stupidly due to excessive use of cannabis. Cannabis seems to have the effect of making users think they are rational or even brilliant when using though their judgment is grossly impaired. Hazardous industries are never going to stop insisting on zero tolerance of cannabis for their employees. IMHO fa

Frank – despite being a recreational user of cannabis for much of my adult life I personally HAVE NEVER witnessed ANYONE young or old ‘die while acting stupidly’ due to their ‘grossly impaired’ judgements caused by the consumption of cannabis – in my experience users who consume cannabis in moderation do not suffer from significantly impaired judgements but act rationally, are able to communicate clearly & effectively & do not act at all like the stereotypical ‘Cheech and Chong’ stoner type – I myself have an academic background, have taught history at universities in New Zealand & Australia (where i was born and reside) & find myself regularly writing & composing coursework under, as you might put it, the ‘grossly impaired’ influence of cannabis – writings which I might add have been peer reviewed & seen publication in academic journals – indeed one academic colleague of mine once insisted that if it had not been for his daily imbibing of cannabis prior to writing there would have been no chance in hell he’d have completed the writing of his PhD nor any other of the many pieces of his written work that have since seen publication. And as it pertains to the young acting like complete fools and goons after consuming cannabis might i remind you that legalisation is not intended to make the drug freely available to kids, youths & teens but is in part about applying better controls to its distribution and preventing underage individuals from being able to access and abuse it.

Did you not notice I said excessive use? Some cocaine & heroin users also function quite well but the majority do not. Some alcoholics have been good writers but that should not be a recommendation. I speak from experience of long standing in dealing with “street” users of drugs. You probably would be surprised at what some will use in seeking a “high”.

People are treated like criminals because they made a mistake. And now we have you telling us that you know something about it. Were you a street user? If not you know nothing about it except what your mind decided was true after hearing either a few stories or 30 years of stories. Imagine if you truly listened to those people.
Comparing addictive drugs like heroin to Marijuana is plain silly.
Marijuana is not going to cause any damage to children compared to Chicken or water. Chicken has arsenic and causes cancer approved by FDA. Public water has Flouride which is proven to damage the human pineal gland besides so many other problems it creates.

You worry about smoking pot. INSANE. I am not saying it should be openly available to anyone. What I am saying is where is our Freedom. If I want to grow MJ, POPPY or anything else on my private property and use it only for my own consumption how is that anyone’s business?

Yes but go have some Scotch or Vodka as that is safe for those same children that can find that legal substance in most homes.
Any herb when used improperly can be dangerous, especially to growing minds.
Show the link to your recent study please and most negative MJ studies are not legitimate in any way. Big Pharma surely has no place in recreational MJ use and if you really want to see study after study after study go to http://norml.com and search for whatever double blind study you are interested in.
Shame on you for pushing studies you do not dare supply. Or did they study on Rats?
